The following General Terms of Use (the “Terms”) apply to both a visitor’s use of the Maple Coupons Inc. (“Maple Coupons”) web page at www.maplecoupons.ca (hereinafter the “Website”) as well as any service that we may offer or perform on the Website (the “Services”). The terms "You" or “Your” (in both upper and lower case) refer to the individuals using the Website (also a “Visitor” or a “Customer”).  The terms “We”, “Our” or “Us” (in both upper and lower case) refer to Maple Coupons.  The Agreement is an agreement between You and Maple Coupons and by visiting the Website You agree to be bound by the Terms.

 

BY ACCESSING OR USING THE PORTIONS OF THIS WEBSITE OPEN TO VISITORS, OR PURCHASE A COUPON, OR DEAL, OR ENGAGING IN ANY WAY WITH A PRODUCT, OR SERVICE OFFERED BY A VENDOR, ACCORDING TO THE TERMS AND CONDITIONS BELOW, YOU REPRESENT AND ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. YOU ACKNOWLEDGE THAT THESE TERMS CONSTITUTE AN AGREEMENT BETWEEN YOU AND US, EVEN THOUGH IT IS ELECTRONIC AND IS NOT PHYSICALLY SIGNED BY EITHER YOU OR US. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, THEN DO NOT ACCESS THE WEBSITE OR USE THE SERVICES OR CONTENT, DO NOT PURCHASE A COUPON, OR IN ANY WAY INTERACT WITH A VENDOR.

 

Further, by purchasing any Vendor Offering or Coupon (as defined below), product or participating in other available programs via the Website, you agree to these Terms of Use.

 

An Overview Of The Maple Coupons Program

 

What is being sold by Maple Coupons?

 

No goods or services are being sold directly by Maple Coupons.  Users of the Website can purchase “Coupons” which will be redeemable for certain products or services offered by “Vendors” (a “Vendor Offering”).  Vendors are merchants or other retailers who have entered into a Vendor Agreement with Maple Coupons and agree to be bound by its terms.  Vendors offer certain products or services to you through our Website upon the terms noted below.

 

What Is A Coupon, and How Does It Work?

 

Coupons are redeemable for certain goods, services or experiences offered by, or facilitated through, a Vendor identified on a Coupon. The Vendor is solely responsible for redeeming the Coupon and is fully and solely responsible for the care and quality of all goods and services it provides to you and for any and all injuries, illnesses, damages, claims, liabilities and costs (“Liabilities”) it may cause you to suffer, directly or indirectly, in full or in part, whether related to the use or redemption of a Coupon or not. You, as a customer or visitor to the Website waive and release Maple Coupons and its subsidiaries, affiliates, partners, officers, directors, employees and agents from any Liabilities arising from or related to any act or omission of a Vendor in connection with your use of a Coupon or the goods, services or experiences a Vendor provides in connection with the Coupon.

 

By purchasing, viewing a mobile version, printing, accepting, using or attempting to use any Coupon, you agree specifically to the terms on the Coupon and any additional deal-specific terms advertised in connection with and on the Coupon at the time of purchase (the “fine print” regardless of how it is labeled). These rules apply to all Coupons that we make available, unless a particular Coupon’s states otherwise, and except as otherwise required by law. In the event of a conflict between these rules and a Coupon’s specific terms, the Coupon’s specific terms will govern. Any attempt to redeem a Coupon in violation of these terms will render the Coupon void. The Vendor is the sole issuer of the Coupon. Coupons are not redeemable for cash. Unauthorized or unlawful reproduction, resale, modification or trade of Coupons is prohibited. Pricing relating to certain Vendor Offerings and products on the Website may change at any time in Maple Coupons’ discretion, without notice.

 

Each Coupon has two separate portions that make a deal (i) a paid portion equal to the amount your credit card is charged which is similar to a paid gift certificate (the "paid portion"); and (ii) at no additional charge to you, a marketing portion for the balance of the value of the Deal if used by the marketing expiration date on the Coupon (the "marketing portion") (together, the paid and marketing portions of the Vendor Offering are presented in a "Coupon"). In the event you redeem your Coupon for less than the full amount stated on the Coupon, your purchase will be allocated first against the paid portion until it has a balance of zero Canadian dollars ($0.00) and then against the marketing portion that is remaining.

 

For example, if you pay $10 for a Coupon that entitles you to $30 of goods, services or experiences from a Vendor, the amount paid is $10 (this amount does not expire until it is used or is refunded) and the marketing value is $20 (this amount expires on the date stated on the Coupon unless expiration of the marketing value is prohibited by law). The Vendor is responsible for permitting you to redeem the Coupon for at least the amount paid, even after the marketing value has expired. The amount paid will expire in five (5) years or except to the extent applicable law requires that the vendor extend the period in which the coupon may be redeemed. Coupons as a whole or the marketing value cannot be combined with any other Coupons or promotions unless otherwise noted on the Coupon. Unless otherwise stated at the time a Coupon is purchased, the Coupon price does not include GST, PST, HST or any other sales or value added taxes, which may be charged to you separately by the Vendor at the time you redeem the Coupon. Coupons are not reloadable, meaning that the amount paid of the Coupon cannot be increased, but are fully transferrable.

 

The Vendor is obligated to honor the Coupon in compliance with law. If the Vendor refuses to honor the Coupon before the relevant expiration date, then Maple Coupons will refund the paid portion of your Coupon. In order to receive the credit back, The purchaser must contact Maple Coupons through www.maplecoupons.ca with: (a) identification of the Coupon and Vendor with whom you sought to redeem the Coupon, (b) provide a statement of the date, time, and circumstances in which the Vendor refused to redeem the Coupon, and (c) provide a true and accurate statement that the Coupon has never been redeemed with the Vendor. This process is subject to Our own investigations and We have the sole discretion to make a final judgment on the matter.

 

Coupons have no cash value. While the Coupons are being redeemed, the paid portion will be used first until has a zero value and then the marketing value of the Coupons.  No change, cash back or credit will be issued for partial redemption of the paid portion of a Coupon. No change, cash back or credit will be issued for partial redemption of the marketing portion of a Coupon. Neither Maple Coupons nor the Vendor is responsible for lost or stolen Coupons or Coupon reference numbers. Coupons are issued to you personally and duplicate use, sale or trade of a Coupon is prohibited. Coupons cannot be redeemed against any taxes, tips, prior balances or purchases, shipping or handling, unless otherwise noted on the Coupon. Use of a Coupon for alcoholic beverages is at the sole discretion of the Vendor (which may be limited by applicable law), unless otherwise noted on the Coupon.

 

Hoes Does A Vendor Offering Work?

 

A Vendor (through a Vendor Offering) determines the total number of Coupons to be issued and the duration of a campaign for a particular Coupon.  It is strongly recommended that Vendors consult with Maple Coupons when issuing Coupons and setting the terms of the offering, to ensure that they are operating in the most effective way for their business.  Maple Coupons will not increase or decrease the number of Coupons without taking the instructions of a Vendor.

 

Descriptions of the Vendor Offerings and products advertised on the Website are provided by the Vendors or other referenced third parties. Maple Coupons does not investigate or scrutinize Vendors. Maple Coupons is not responsible for any claims associated with the description of the Vendor Offerings or associated products. Pricing relating to certain Vendor Offerings, products, and other available programs on the Website may change at any time in Maple Coupons’ sole discretion without notice.

 

Vendor is the issuer of the Coupon. As issuer of the Coupon, the Vendor shall be fully responsible for any and all loss, injuries, illnesses, damages, claims, liabilities and costs suffered by or in respect of a customer, caused in whole or in part by the Vendor or its products and services, as well as for any unclaimed property liability arising from unredeemed or partially redeemed Coupon. By purchasing a deal offered by a Vendor, you acquire the right to print a Coupon issued by the participating Vendor and to use the Coupon according to its terms and the terms of this Agreement. Whether you choose to print and/or redeem the Coupon is within your sole control and at your sole discretion.

 

Maple Coupons may, in its sole discretion, verify your identity prior to processing a purchase. Maple Coupons may also refuse to process a purchase, may cancel a purchase, or may limit quantities or shipment to particular addresses, as reasonably deemed necessary, to comply with applicable law or to respond to a case of misrepresentation, fraud or known or potential violations of the law or these Terms of Use. Refunds for cancelled orders may be issued where appropriate.

 

If an offer becomes unavailable between ordering and processing, Maple Coupons will either cancel or not process the order and will notify you by email.

 

Maple Coupons does not guarantee that it offers best available rates or prices and does not guarantee against pricing errors. Maple Coupons reserves the right, in its sole discretion, to not process or to cancel any orders placed, including, without limitation, if the price was incorrectly posted on the Site. If this occurs, Maple Coupons will attempt to notify you by email. In addition, Maple Coupons reserves the right, in its sole discretion, to correct any error in the stated retail price of the Vendor Offering or product.

 

Vendors are aware and acknowledges that the law may require Vendors to redeem Coupon beyond their stated expiration dates, and Vendors agrees to do so (to the extent applicable law requires).

 

What Is Required Of A Vendor To Participate In This Program?

 

A Vendor may advertise goods, services or experiences on the Website that require the Vendor to have an up-to-date regulatory authorization, license, or certification. Maple Coupons does not verify, validate, or collect evidence of any regulatory authorization, license or certification from any Vendor.  Further you agree to indemnify and hold harmless Maple Coupons for any losses or claims of any nature that arise from your failure to properly investigate the Vendor. You should make whatever investigation you deem necessary or appropriate before purchasing any Vendor Offering or Coupon to determine whether: (i) Vendor is qualified to provide the advertised good or perform the advertised service; or (ii) the product is of the care and quality required. Vendor is solely responsible for the care and quality of the goods and services being provided or the care and quality of the Products.

 

Maple Coupons is not a health or wellness provider and does not, will not and cannot refer, recommend or endorse any specific professional, services, products or procedures that are advertised on the Website.  We have no liability whatsoever with respect to the products and services that are offered through the Website, or available through the purchase of a Coupon. The Website is not a substitute for professional advice, including, without limitation, medical advice, diagnosis or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a health condition. Never neglect to seek out or delay or disregard professional advice relating to your health because of something you have read on the Website.

 

Will You Allow For Hotel or Travel Bookings Directly Through The Website?

 

No, hotel or travel bookings cannot be made directly online through the Website. Only Coupons will be issued.

 

What is a Travel Coupon?

 

A Travel Coupon is a Coupon for a specified length of stay and room type that may be booked for a pre-defined range of dates at a named Vendor property (“Travel Coupon”). The marketing value of a Travel Coupon will EXPIRE on the “book by date” specified on the face of the Travel Coupon, unless prohibited by law. The marketing value cannot be combined with other offers. Travel must be booked by the book-by-date by directly contacting the Vendor, and all travel must be completed by the travel by date specified on the Travel Coupon. The amount paid WILL NEVER EXPIRE. After the marketing value has expired, the Vendor is responsible for permitting you to redeem the Travel Coupon for at least the amount paid towards the advertised experience of the Travel Flash Deal. Travel Coupons are not valid for existing reservations or for group bookings. Travel Coupons are not reloadable. Travel Coupons are fully transferable. Unless otherwise specified, Travel Coupons exclude all taxes and any other traveler costs including, without limitation, travel insurance, incidentals, service charges, gratuities or expenses due to special requests or add-ons.

 

Can I Purchase Products Directly From the Vendor?

 

Yes, through the Website, certain Vendors allow you to purchase various products directly from the Vendor. Terms and conditions regarding shipping, delivery, and returns will vary by Vendor and will be stated in the Vendor’s deal terms. Charges for delivery and applicable sales taxes will be added at checkout. Once you click the “Buy” button, Maple Coupons will notify the Vendor of your requested order. Your purchase is not complete until you receive an email from Maple Coupons confirming whether or not the Vendor has accepted your order. Vendor is solely responsible for all Vendor Products purchased through the Site.

 

Can I Purchase Gift Cards?

 

Vendor Gift Cards” are offered by Vendors to consumers subject to the terms and conditions specified by the Vendor on the face of the Vendor Gift Card. By obtaining or purchasing a Vendor Gift Card through the Site, You acquire the right to redeem the Vendor Gift Card with the Vendor. Any service fee retained by Maple Coupons from the sale of a Vendor Gift Card is compensation to Maple Coupons for marketing, promoting, advertising and distributing the Vendor Gift Cards on behalf of the Vendor. As the issuer of the Vendor Gift Card, the Vendor shall be fully responsible for any and all Liabilities, caused in whole or in part by the Vendor, as well as for any Liabilities arising from any regulatory action. Maple Coupons does not make any warranty in relation to the Vendor Gift Cards, including, without limitation, their validity or value. Maple Coupons is not a party to any transaction that the Vendor and you may enter into as a result of you purchasing any Vendor Gift Card.

 

Will refunds be allowed?

 

Yes, refunds can be made within 2 business days (48 Hours) of purchase by contacting Maple Coupons through the Website.  Refunds are dealt with in accordance to the terms and conditions set out in this Agreement.

 

Your Account and Profile

 

Your account is non-transferrable. You cannot sell, combine, or otherwise share it with any other person. Any violation of these terms, including, without limitation, failure to maintain updated and correct information about your account, which will include maintaining up to date financial information will cause your account to fall out of good standing and we reserve the right to cancel your account in our sole discretion. If your account is cancelled, you may forfeit any pending, current or future account credits, and any other forms of unredeemed value in your account.

 

Upon termination, the provisions of these terms that are by their nature intended to survive termination (indemnities, waivers, and confidentiality and intellectual property provisions) shall survive. We also reserve the right to change or discontinue any aspect or feature of our services or the Website, including, without limitation, requirements for use.

 

You may only create and hold one account on the Website for your personal use and must register using a valid credit card. You are responsible for updating and correcting information you have submitted to create or maintain your account.

 

You understand and agree that we have no responsibility for any incident arising out of, or related to, your account settings. You must safeguard your password and supervise the use of your account. You are solely responsible for maintaining the security of your account and maintaining settings that reflect your preferences. We will assume that anyone using the Website or transacting through your account is you. You agree that you are solely responsible for any activity that occurs under your account.

 

In our sole discretion we may permit you to make purchases without an account or without logging in to your account. If you make a purchase in this manner, we will create an account for you based on the information provided to us in regarding the transaction.

 

Your Permission To Use and Access Our Website and Services

 

Your permission to use our Website is conditional upon your agreement that you:

  • · hereby grant each Maple Coupons user, whether using Maple Coupons or an application authorized by Maple Coupons but developed by a third-party developer, a non-exclusive license to access the Content you submit through Maple Coupons and to use, reproduce, distribute, prepare derivative works of, display and perform such Content as permitted through Maple Coupon’s functionality and under these terms;
  • · will not submit content that is copyrighted or subject to third party proprietary rights, including privacy, publicity, trade secret, etc., unless you are the owner of such rights or have the appropriate permission from their rightful owner to specifically submit such Content to Maple Coupons; and
  • · Hereby agree that we have the right to determine whether any of your content submissions are appropriate and comply with these terms, remove any and/or all of your submissions, and terminate your account with or without prior notice.

 

Failure to adhere to these covenants can result in immediate termination of your Vendor Account.

 

User Conduct

 

You agree that you will:

 

  • Comply with all applicable laws, including, without limitation, privacy laws, intellectual property laws, anti-spam laws, export control laws, tax laws, and regulatory requirements;
  • Provide accurate information to us and keep it updated;
  • Use your real name on your profile;
  • Comply with the Canadian Anti-Spam rules and regulations, including the requirement to obtain express consent for outbound email solicitations on your part;

 

You agree that you will not:

 

  • Act dishonestly, including by posting inappropriate, inaccurate, or objectionable content;
  • Add content that is not intended for, or inaccurate for, a designated field (e.g. submitting a telephone number in the “title” or any other field, or including telephone numbers, email addresses, street addresses or any personally identifiable information for which there is not a field provided by Maple Coupons);
  • Create a false identity on Maple Coupons;
  • Misrepresent your identity, including but not limited to the use of a pseudonym;
  • Disclose your password;
  • Use or attempt to use another's account;
  • Harass, abuse or harm another person;
  • Send spam or other unwelcomed communications to others;
  • Scrape or copy profiles and information of others through any means (including crawlers, browser plugins and add-ons, and any other technology or manual work)
  • Act in an unlawful, libelous, abusive, obscene, discriminatory or otherwise objectionable manner;
  • Disclose information that you do not have the right to disclose (such as confidential information of others);
  • Violate intellectual property rights of others, including patents, trademarks, trade secrets, copyrights or other proprietary rights;
  • Violate the intellectual property or other rights of Maple Coupons, including, without limitation, using the word “Maple Coupons” or our logos in any business name, email, or URL;
  • Private message any unsolicited or unauthorized advertising to your Vendors, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation unauthorized by Maple Coupons;
  • Send messages to distribution lists, newsgroup aliases, or group aliases;
  • Post anything that contains software viruses, worms, or any other harmful code;
  • Manipulate identifiers in order to disguise the origin of any message or post transmitted through the Services;
  • Create profiles or provide content that promotes escort services or prostitution.
  • Creating or operate a pyramid scheme, fraud or other similar practice;
  • Copy or use the information, content or data of others available on the Services (except as expressly authorized);
  • Copy or use the information, content or data on Maple Coupons in connection with a competitive service (as determined by Maple Coupons);
  • Copy, modify or create derivative works of Maple Coupons, the Services or any related technology (except as expressly authorized by Maple Coupons);

  • Remove any copyright, trademark or other proprietary rights notices contained in or on our Service;
  • Remove, cover or obscure any advertisement included on the Services;
  • Collect, use, copy, or transfer any information obtained from Maple Coupons without the consent of Maple Coupons;
  • Share or disclose information of others without their express consent;
  • Use manual or automated software, devices, scripts robots, other means or processes to access, “scrape,” “crawl” or “spider” the Services or any related data or information;
  • Use bots or other automated methods to access the Services, add or download contacts, send or redirect messages;
  • Monitor the Services' availability, performance or functionality for any competitive purpose;
  • Engage in “framing,” “mirroring,” or otherwise simulating the appearance or function of the Services;
  • Access the Services except through the interfaces expressly provided by Maple Coupons, such as its Website;
  • Override any security feature of the Services;
  • Interfere with the operation of, or place an unreasonable load on, the Services (e.g., spam, denial of service attack, viruses, gaming algorithms);

All products and services that are described, made available or provided on the Website by a Vendor may be changed or withdrawn at any time without notice.

 

The information, material and content provided in the pages of the Website, including pricing information for Coupons and deals that are provided by Vendors, (the "Information") is believed to be reliable when posted, but there is no guarantee or warranty that it is accurate, complete or current at all times. Without limiting the generality of the foregoing, the Information may include technical inaccuracies or typographical errors, Maple Coupons and their officers, directors, employees and agents have no obligation to update the Information, and also have no liability with respect to the Information. The Information or the Website may be changed, withdrawn or terminated at any time without notice.

 

Local laws and Export control

 

It is important to note that not all of the products, services and Information made available or provided on the Website by a particular Vendor are available in all jurisdictions. In addition, the Information does not constitute an offer or solicitation to buy or sell any product, service or information to anyone in any jurisdiction in which an offer or solicitation is not authorized or cannot legally be made, or to any person to whom it is unlawful to make an offer or solicitation.

If you choose to access the Website, or purchase a Coupon from a Vendor, you do so on your own initiative and are responsible for compliance with applicable local, national or international laws.

 

You may not use, export or re-export the Information or any copy or adaptation thereof in violation of any applicable laws or regulations, including export laws and regulations of Canada in force from time to time.

 

No Advice

 

Any Information provided on the Website, including any data, text, comments, pages, commentary, is for informational purposes only and is not intended to provide specific financial, investment, real estate, tax, legal, accounting or other advice to you, and should not be acted or relied upon in that regard without seeking the advice of a professional.

 

No Warranties

 

Maple Coupons provides the Website and the Information on an "as is, where is" basis and does not make any express or implied warranties, representations, or endorsements with respect to the Website, the Services, or the Information, including without limitation, warranties as to merchantability, operation, non-infringement, usefulness, completeness, accuracy, currency, reliability and fitness for a particular purpose. Further, Maple Coupons does not represent or warrant that the Website will be available and meet your requirements, that access will be uninterrupted, that there will be no delays, difficulties in use, defects, incompatibility, failures, errors, omissions or loss of transmitted information, that no viruses or other contaminating or destructive properties will be transmitted or that no damage will occur to your computer system. You have sole responsibility for taking protection and backup of data and/or equipment and for taking reasonable and appropriate precautions to scan for computer viruses or other destructive properties.

 

Indemnification

 

You agree to indemnify, defend and hold harmless Maple Coupons, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorneys' fees) relating to or arising out of your use of or inability to use the Website or services, any user postings made by you, your violation of these Terms or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. Maple Coupons reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Maple Coupons in asserting any available defenses.

 

Trademarks, Copyrights and Intellectual Property Rights

 

Certain names, words, titles, phrases, logos, icons, graphics or designs, or other content on the Website, are trademarks or trade names owned by Maple Coupons Inc.  Nothing on the Website shall be construed as conferring any license of any intellectual property rights, whether by estoppel, implication or otherwise. You acknowledge and agree that we retain ownership of all intellectual property rights of any kind related to the Website and Services, including applicable copyrights, trade-marks and other proprietary rights. We are not granting any license to you under any of those intellectual property rights by virtue of this Agreement, except for the limited right to use the Website and Services in accordance with this Agreement. We reserve all rights that are not expressly granted to you in this Agreement.

 

The Content on the Website is owned by Maple Coupons. This includes, without limitation, the text, software, scripts, graphics, photos, sounds, interactive features and the trademarks, service marks and logos contained therein ("Marks"). The Marks are owned by us. Content provided by us is provided to you “AS IS” for your information and personal use only and may not be used, copied, reproduced, modified, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners.
